1. These terms
These terms govern sharepredictions.com and its API ("the Service") between you and Loheden AI Solutions AB ("we"). By using the Service, creating an account or buying paid access you accept them. If you accept them for a business, you confirm that you may bind it. Our mobile apps have their own terms. Our privacy policy describes how we process personal data; it is not part of these terms.
2. Not advice
The Service provides information and predictions only. It is not financial, investment or trading advice, or an offer or solicitation to buy or sell anything, and we are not your broker or adviser. The predictions are produced automatically and can be wrong, markets are risky, and past results do not predict future ones; you make your own decisions and bear all their risk. As far as the law allows, we are not liable for any trading or investment loss or lost profit.
3. Licence and use
We give you a non-transferable licence to use the Service, and any paid access for the period you paid for, for your own use or your organisation's internal use. You may not copy, resell, sublicense or share the Service, its data or your API key, publish or redistribute its predictions or data, get around an access check or limit, scrape or overload the Service, use it unlawfully or to harm others, or reverse engineer it except where the law allows that.
4. Your account and keys
You keep your account, API key and email account secure, and you answer for what is done with them.
5. What you put in
You keep your rights in what you put into the Service. You give us a licence to host, process and transmit it to provide, secure and improve the Service. We may use aggregated or de-identified data, and any feedback you give us, for any purpose, without obligation to you.
6. Price and payment
Paid access is paid through our payment provider. Refunds beyond what the law gives are at our discretion.
7. Changes to the Service
We may change, suspend or discontinue the Service or any part of it. Towards a consumer we do so only for a valid reason, such as a legal, security, technical or commercial one, and if we discontinue paid access before a prepaid period ends, we refund the unused part.
8. Ending access
We may suspend or end your access at once if you break these terms or the law, commit fraud, reverse a payment, become subject to sanctions, or where the law requires it, with no refund beyond what the law gives.
9. No warranty
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY AND NON-INFRINGEMENT. Data from third parties, such as market prices, may be wrong, late or stop. A private buyer has the statutory rights if paid access is faulty; complaints go to the email or postal address below.
10. Liability
As far as the law allows, we are not liable for indirect or consequential loss, lost profit, revenue, business, goodwill or data, or loss caused by others, and our total liability is limited to, for a subscription, one month's worth of your latest payment to us for the Service (that payment scaled to one month of the period it paid for, so a twelfth of a yearly one), and for a one-time purchase, what you paid to us for it, but no more than USD 100 or the same value in the currency you paid in. If you buy as a private person, we are not liable for any loss in a business activity. This does not limit liability that the law does not allow us to limit.
11. Indemnity
A business customer indemnifies us against claims, losses and costs arising from its use of the Service in breach of these terms or the law.
12. Time to claim
A business customer must bring any claim within one year of when it knew or should have known of it.
13. Sanctions and age
You confirm that you are 18 or older, that you are not subject to EU, UN, US or Swedish sanctions, and that you are not in a place under a comprehensive embargo.
14. Changes to these terms
We may change these terms. A one-time purchase keeps the version accepted; a new version covers new purchases. For a subscription we tell you before a renewal to which a new version applies, and you may cancel before it does. For a business, a new version otherwise applies from the date it gives.
15. Law and courts
These terms are governed by Swedish law, without its conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods. A consumer keeps the protection of the mandatory rules of the country where they live. Any dispute with a business, or with a consumer living outside the EU, the EEA, Switzerland and the United Kingdom, is settled exclusively by the Swedish courts, with the district court for our registered office as the first instance. Outside the EU, the EEA, Switzerland and the United Kingdom, claims may be brought only individually, not as a plaintiff or class member in a class or representative action, and any jury trial is waived.
16. General
If a clause is invalid, the rest stands. These terms are the whole agreement about the Service. We may transfer our rights and obligations to a company that takes over the Service. We are not liable for delay or failure caused by events beyond our reasonable control. We may give notice by email to the address you gave us or on sharepredictions.com. If a translation differs from the English, the English prevails for business customers.
